HonestPet Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you and HonestPet that govern your right to use the websites (www.honestpet.com), subdomains, and other online channels through which our services are accessible (collectively referred to as the "Site"), our mobile apps, tablet apps, and APIs (collectively referred to as the "Application"), and other offerings from HonestPet (all collectively, the "HonestPet Platform"). When used in these Terms, "HonestPet," "we," "us," or "our" refers to Honest Pet, Inc.

BY ACCESSING AND/OR USING THE SITE, YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THE TERMS AND TO ABIDE BY ALL OF THE REQUIREMENTS SET FORTH HEREIN. YOU MAY NOT ACCESS OR USE THE HONESTPET PLATFORM OR ACCEPT THESE TERMS OF USE UNLESS YOU ARE AT LEAST 18 YEARS OLD.

1. Overview and Platform Role

The HonestPet Platform provides an online marketplace that facilitates users ("Members") to publish, offer, search for, and book services, connecting puppy buyers ("Consumers") with breeders ("Breeders") across the United States. Members who publish and offer services are referred to as "Breeders," and Members who search for, book, or use services are known as "Consumers." Breeders showcase pets ("Pets"), along with details about their breeding program, as well as a variety of pet-related offerings (collectively, "Breeder Services," with each pet offering termed a "Listing").

Important: HonestPet.com does not own, house, control, offer, or manage any Listings, Breeder Services, or any puppies listed. Breeders are independent third parties and not employees or agents of HonestPet.com. We are not liable for representations, guarantees, or agreements made by Breeders. HonestPet is not directly involved in contracts entered into between Breeders and Consumers and does not act as an agent in any capacity for any Member.

To access and utilize many features of the HonestPet Platform, you are required to register an account and maintain accurate account information.

We maintain other terms and policies that supplement these Terms like our Privacy Policy, which describes our collection and use of personal data. If you are a Breeder, you are responsible for understanding and complying with all laws, rules, regulations and contracts with third parties that apply to your Breeder Services.

2. User Eligibility and Responsibilities

You must be at least 18 years old to use the Platform. By engaging in any transaction, you confirm your legal eligibility or involvement of a legal guardian.

Buyer Responsibilities include:

1. Reviewing all puppy information before purchasing

2. Ensuring personal and legal readiness to care for a pet

3. Be ready—personally, legally, and financially—for the long-term costs of owning a pet, including food, vet care, training, and supplies

4. Prompt communication for delivery and inquiries

5. Compliance with local breed laws, licensing, and restrictions

3. Puppy Listings & Health Information

Breed descriptions and photos are supplied by Breeders. HonestPet.com does not guarantee breed purity or lineage. All listings are subject to availability and may change without notice.

Health Disclaimer: We vet breeders against internal quality standards, but we cannot guarantee health outcomes of any puppy. Puppies are living beings and may be subject to unforeseen health conditions.

4. Pet Health and Behavioral Disclaimers

HonestPet makes no warranties or guarantees regarding:

1. Long-term health outcomes, genetic defects, or hereditary conditions that may manifest after delivery

2. Behavioral characteristics, temperament, or training responsiveness of any pet

3. Compatibility between purchased pets and existing household pets or family members

4. Adult size, appearance, or characteristics that may differ from puppy stage

5. Allergic reactions or health impacts on household members

Consumers acknowledge that pet ownership involves inherent uncertainties and assume all risks associated with these factors.

Consumer Terms

5. Searching and Reserving on HonestPet

5.1 Searching. You can explore available Listings on the HonestPet Platform by utilizing criteria such as the type of pet, Breeder location, availability dates, and desired pet characteristics. Additionally, you have the option to apply filters to enhance your browsing experience. The displayed results are determined based on their relevance to your search and various factors, including price, availability, reviews, Breeder's customer service and cancellation track record, popularity, previous successful transactions, saved Listings, Breeder requirements (e.g., specific pet characteristics), and more.

5.2 Reserving. When you reserve a Listing on the HonestPet Platform, you agree to cover all expenses related to your Reservation, including the Pet's price, applicable fees like HonestPet's service fee, taxes, delivery, and any other items specified during the checkout process (collectively, the "Total Price"). By reserving a Listing, you also consent to HonestPet, through the HonestPet Payments system, charging the Payment Method used for the Reservation to collect amounts related to damage claims.

Upon receiving the booking confirmation, a contractual agreement for Breeder Services (a "Reservation") is established directly between you and the Breeder. Besides adhering to these Terms, you are obligated to comply with all terms outlined in the Reservation, including but not limited to the cancellation policy and any other rules, standards, policies, or requirements specified in the Listing or during the checkout process relevant to the Reservation.

6. Transactions, Deposits, & Cancellations

6.1 Deposits and Refunds. Deposits are refundable only if:

1. The selected puppy becomes unavailable prior to delivery

2. HonestPet cancels the transaction

3. The request is made within 24 hours of placing the deposit

6.2 Cancellation Policies.

6.2.1 Consumer Initiating Cancellation: Consumers may initiate cancellations under certain circumstances, subject to the specific cancellation policy outlined in the Reservation. Consumer Cancellations follow the policy outlined in the Reservation.

6.2.2 Breeder-Initiated Cancellations: Breeders must communicate cancellations promptly; refunds will be facilitated. Breeders may be subject to penalties or account restrictions for Breeder-initiated cancellations.

6.2.3 Platform Cancellations: May occur if a puppy becomes unavailable. Full refunds will be issued.

7. Delivery Policy

Delivery times are estimates and depend on third-party transporters, breeder readiness, and weather. All deliveries are completed via USDA-certified couriers. HonestPet.com is not liable for delays due to force majeure or third-party delays.

7.1 Unforeseen Circumstances: HonestPet recognizes that unforeseen circumstances, such as transportation delays or external factors, may impact the timely delivery of a purchased Pet. In such cases, HonestPet will work diligently to communicate the situation, explore alternative solutions, and minimize inconvenience for all parties involved.

8. Post-Delivery Refunds & Returns

All sales are final after delivery. Refunds are not permitted unless required by law. This policy is subject to applicable state laws. In certain states, consumers may be entitled to specific post-delivery protections or remedies.

9. Consumer Protection Acknowledgment

1. Consumers acknowledge they have researched pet ownership responsibilities and costs

2. This agreement does not limit consumer rights under applicable state "lemon laws" for pets

3. Consumers have the right to receive accurate information about pet health, breeding history, and characteristics

4. Any disputes regarding pet health or breeder misrepresentation should be reported to HonestPet within 7 days of discovery

5. HonestPet may assist in dispute resolution but is not liable for breeder actions or omissions

10. Your Responsibilities and Assumption of Risk

10.1 Listings and Transactions: You are responsible and accountable for your own actions and decisions on the HonestPet Platform. Additionally, you hold responsibility for the actions and decisions of anyone you invite to join or grant access to HonestPet's services on your behalf, including purchasing or listing a Pet.

10.2 Damage Claims: You are responsible for paying all reasonable damage claim amounts necessary to cover any damage caused to a Pet or related property by you, your guest(s), or your pet(s).

10.3 Ethical Conduct: You must conduct yourself with integrity, treating others with respect, and adhering to ethical standards throughout all interactions on the HonestPet Platform.

10.4 Compliance with Laws: You must comply with all applicable laws and regulations at all times while using HonestPet's services and/or the HonestPet Platform.

10.5 Your Assumption of Risk on HonestPet: You recognize that engaging in various activities, including the purchase or listing of Pets, involves inherent risks. By utilizing the HonestPet Platform, you agree that, to the maximum extent permitted by applicable law, you assume the entire risk associated with your access to and use of HonestPet's services.

Breeder Terms

11. Listing on HonestPet

As a Breeder, HonestPet provides you with the opportunity to utilize the HonestPet Platform to showcase and share your Listings with our engaged community of Consumers, allowing you to earn income from your Breeder Services. Creating a Listing is a straightforward process, putting you in command of your Breeder Services.

12. Managing Your Listings on HonestPet

The HonestPet Platform equips you with user-friendly tools to effortlessly establish and oversee your Listings. Your Listing should encompass comprehensive and accurate information about your Breeder Services, pricing, additional charges (such as delivery fees), and any specific rules or requirements applicable to prospective Consumers. Each Pet may have only one Listing, but a Breeder may have multiple Listings.

12.1 Know Your Legal Obligations: It is your responsibility to comprehend and adhere to all laws, rules, regulations, and contracts applicable to your Listing and Breeder Services.

13. Independence of Breeders

Your affiliation with HonestPet is that of an independent individual or entity and not an employee, contractor, agent, joint venturer, owner, or partner of HonestPet. HonestPet does not dictate or govern your Breeder Services.

14. Breeder Insurance and Liability Requirements

Breeders agree to:

1. Maintain comprehensive general liability insurance with minimum coverage of $1,000,000

2. Provide proof of insurance upon request

3. Ensure all breeding facilities meet local health and safety standards

4. Indemnify HonestPet for any claims arising from their breeding practices, facilities, or animal care

5. Maintain current business licenses and permits as required by local authorities

6. Comply with all applicable animal welfare and breeding regulations

15. Breach or Misconduct by Breeders

If HonestPet becomes aware of repeated breeder misconduct or misrepresentation, we reserve the right to suspend their access or remove their listings. However, resolution of disputes between consumers and breeders must be handled directly unless otherwise required by law.

16. Fraud & Platform Abuse

We reserve the right to deny service, cancel transactions, or suspend accounts in cases of suspected fraud, chargeback abuse, or policy violations.

17. Communication Consent

By using HonestPet.com, you consent to:

1. Receive texts, emails, and phone calls regarding your inquiry or order

2. Opt out of promotional messages at any time

18. Photography & Testimonials

By submitting photos, videos, or testimonials, you grant HonestPet.com the right to use this content for marketing unless you opt out in writing.

19. User Conduct

You agree not to:

1. Misrepresent your identity or intent

2. Post false, abusive, or harassing content

3. Circumvent platform processes or fees

20. Prohibited Activities

Users are strictly prohibited from:

1. Creating multiple accounts or fake profiles to manipulate reviews or circumvent restrictions

2. Attempting to contact breeders through means other than the HonestPet Platform

3. Using the Platform to facilitate illegal pet sales or puppy mill operations

4. Engaging in harassment, stalking, or threatening behavior toward other users or HonestPet staff

5. Posting content that violates animal welfare standards or promotes unethical breeding practices

6. Attempting to manipulate search rankings or platform algorithms

7. Using automated tools to scrape data or create artificial traffic

21. Reviews & Content Rights

Users may leave reviews after completed purchases. Reviews must be truthful and not defamatory. HonestPet may moderate or remove inappropriate content.

22. Platform Availability

We make reasonable efforts to ensure uptime, but we do not guarantee uninterrupted or error-free access.

23. HonestPet Platform Rules

You must adhere to these rules and must not help or induce others to break or circumvent these rules:

23.1 Rules:

1. Act with integrity and treat others with respect

2. Do not scrape, hack, reverse engineer, compromise, or impair the HonestPet Platform

3. Only use the HonestPet Platform as authorized by these Terms

4. Honor your Legal Obligations

24. Platform Monitoring and Enforcement

HonestPet retains the right to:

1. Monitor user communications and activities on the Platform for compliance and safety purposes

2. Investigate suspected violations of these Terms or illegal activities

3. Cooperate with law enforcement agencies and provide information as legally required

4. Preserve user data and communications as evidence in legal proceedings

5. Share information with other platforms or services to prevent fraud or abuse

6. Take immediate action to protect users, animals, or our business interests

25. Account Security and Monitoring

1. Users are responsible for all activities under their accounts

2. HonestPet may monitor accounts for suspicious activity, fraud prevention, and Terms compliance

3. We reserve the right to temporarily restrict accounts pending investigation of policy violations

4. Users must immediately report suspected unauthorized account access

5. Account sharing or transfer to third parties is prohibited

6. Persistent violations may result in permanent account termination and legal action

26. Fees on HonestPet

HonestPet may charge fees (and applicable taxes) to Consumers for the right to use the HonestPet Platform. Except as otherwise provided on the HonestPet Platform, service fees are non-refundable.

27. Financial Terms and Collection

1. Failed payments or chargebacks may result in account suspension and collection fees

2. Users are responsible for all costs associated with payment disputes or collection efforts

3. HonestPet may report delinquent accounts to credit bureaus

4. Overdue amounts accrue interest at 1.5% per month or maximum rate allowed by law

5. We reserve the right to offset refunds against outstanding debts

6. Payment processing fees are non-refundable even if transactions are later disputed

28. Promotions & Discounts

Promotional codes and offers are valid for one-time use per household and cannot be combined unless specified.

29. Electronic Transactions

By using HonestPet.com, you consent to conducting transactions electronically and to the use of electronic records and signatures in place of physical ones, to the extent permitted by applicable law.

30. Data Usage and Analytics

By using the Platform, you grant HonestPet the right to:

1. Collect, analyze, and use aggregate user data for business intelligence and platform improvement

2. Share anonymized data with third parties for research or marketing purposes

3. Retain user data for legal compliance and business operations

4. Use communication preferences for targeted marketing (with opt-out options)

31. Data Protection

While HonestPet implements reasonable security measures, we are not liable for data breaches caused by third-party service providers, hackers, or circumstances beyond our control. Users are responsible for maintaining the security of their account credentials.

32. Intellectual Property Rights

1. All trademarks, logos, and branding elements of HonestPet are our exclusive property

2. Users grant HonestPet perpetual, royalty-free license to use submitted content (photos, reviews, testimonials) for marketing and promotional purposes

3. Reverse engineering, scraping, or attempting to replicate our platform functionality is strictly prohibited

4. Users may not use HonestPet branding or create derivative works without express written permission

5. We reserve the right to pursue legal action for IP infringement

33. Legal and Regulatory Compliance

1. All transactions must comply with federal, state, and local laws governing pet sales

2. Breeders must maintain current USDA licenses where required and comply with Animal Welfare Act standards

3. International shipments are subject to destination country import requirements and restrictions

4. Users are responsible for understanding and complying with local pet ownership laws and restrictions

5. HonestPet reserves the right to refuse service in jurisdictions where our operations may not be legally compliant

34. Service Modification and Continuity

HonestPet reserves the right to:

1. Modify, suspend, or discontinue any aspect of our services with reasonable notice

2. Transfer user accounts and data in the event of business sale, merger, or acquisition

3. Implement temporary service restrictions during maintenance, upgrades, or technical issues

4. Update fee structures with 30 days advance notice to users

5. Prioritize service availability during high-demand periods or system constraints

35. No Warranty

HonestPet.com provides the Platform "as is" and "as available" without warranties of any kind, either express or implied. We make no representations or warranties regarding the accuracy, completeness, or reliability of Listings, breeder descriptions, or pet characteristics.

36. Limitation of Liability

To the fullest extent permitted by law, HonestPet shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, arising from any transaction or platform usage.

Neither HonestPet (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the HonestPet Platform or any content will be liable for any incidental, special, exemplary, or consequential damages arising out of or in connection with these Terms, the use of or inability to use the HonestPet Platform, or any interactions with Members.

37. Indemnification of HonestPet

To the maximum extent permitted by applicable law, you agree to release, defend, indemnify, and hold HonestPet harmless from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your breach of these Terms, improper use of the HonestPet Platform, or interaction with any Member.

38. Dispute Resolution

Disputes will be resolved through binding arbitration under Delaware law. Both parties shall bear their own costs unless otherwise ruled by the arbitrator. By agreeing to arbitration, you waive your right to a trial by jury or to participate in a class action lawsuit.

38.1 Application: This provision applies to you if your country of residence or establishment is the United States.

38.2 Overview of the Dispute Resolution Process: HonestPet is committed to participating in a consumer-friendly dispute resolution process providing for: (1) an informal negotiation directly with HonestPet's customer service team; and if necessary (2) a binding arbitration administered by the American Arbitration Association ("AAA").

39. Force Majeure

HonestPet shall not be liable for delays, cancellations, or failures to perform due to circumstances beyond our reasonable control, including but not limited to:

1. Government regulations, travel restrictions, or quarantine orders affecting pet transport

2. Disease outbreaks, epidemics, or health emergencies affecting animals or humans

3. USDA or other regulatory agency restrictions or suspensions

4. Breeder facility closures due to health, safety, or regulatory issues

5. Supply chain disruptions affecting transportation or related services

6. Severe weather, natural disasters, or infrastructure failures

7. Labor disputes, strikes, or transportation industry disruptions

40. Termination, Suspension, and other Measures

40.1 Term: The agreement between you and HonestPet reflected by these Terms is effective when you access the HonestPet Platform and remains in effect until either you or we terminate the agreement in accordance with these Terms.

40.2 Termination: You may terminate this agreement at any time by sending us an email or by deleting your account. HonestPet may terminate this agreement and your account for any reason by giving you 30 days' notice via email.

41. Changes to Terms

We may update these Terms at any time. When we make material changes to these Terms, we will post the revised Terms on the HonestPet Platform and update the "Last Updated" date at the top of these Terms. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

42. Survival

Any sections of these Terms that by their nature should survive termination (including but not limited to Limitations of Liability, Dispute Resolution, Indemnity, and No Warranty) will survive termination of your access to the Platform.

43. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions shall continue in full force and effect.

44. Governing Law and Venue

If you reside or have your place of establishment in the United States, these Terms will be interpreted in accordance with the laws of the State of Delaware and the United States of America. Judicial proceedings must be brought in state or federal court in Wilmington, Delaware, unless we both agree to some other location.

45. Miscellaneous

45.1 SMS and Marketing: By consenting to HonestPet's SMS marketing, you agree to receive recurring text notifications, marketing offers, and transactional texts. Message frequency varies. Reply STOP to opt out.

45.2 Third-Party Services: The HonestPet Platform may contain links to third-party websites, applications, services, or resources that are subject to different terms and privacy practices.

45.3 Platform Content: Content made available through the HonestPet Platform may be protected by copyright, trademark, and/or other laws.

47. Acknowledgment & Acceptance

By accessing or using the HonestPet Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
